• Specific operational outcomes

• Business success

Results depend on many factors outside our control, including client implementation, market conditions, team performance, and industry dynamics.

4. Payments & Refunds

A. Payments

• Fees are outlined in individual service agreements or checkout pages.

• Payments must be made in full unless otherwise agreed in writing.

• Late payments may result in suspension of services.

B. Refund Policy

Unless otherwise stated in a written agreement:

• Discovery calls are non-refundable.

• Assessments and consulting services are non-refundable once delivered.

• Retainers are non-refundable once the service period has begun.

Custom engagements may have separate refund provisions in signed agreements.

5. Client Responsibilities

Clients agree to:

• Provide accurate and complete information

• Participate in scheduled meetings

• Provide timely access to systems, team members, and data

• Implement agreed-upon recommendations

Failure to cooperate may impact results and does not relieve payment obligations.

6. Intellectual Property

A. Company Materials

All templates, frameworks, documents, systems, dashboards, SOP structures, and proprietary methodologies remain the intellectual property of Stratyn.

Clients receive a limited, non-transferable license to use materials for internal business purposes only.

B. Restrictions

Clients may not:

• Resell Stratyn frameworks

• Reproduce materials for commercial distribution

• Claim ownership of proprietary systems

7. Confidentiality

Both parties agree to maintain confidentiality of:

• Financial information

• Operational data

• Internal documentation

• Strategic plans

• Trade secrets

Confidential information will not be disclosed without written consent unless required by law.

Specific confidentiality terms may be further defined in signed agreements.

8. Limitation of Liability

To the fullest extent permitted by law:

Stratyn shall not be liable for:

• Indirect or consequential damages

• Loss of profits

• Loss of data

• Business interruption

Total liability shall not exceed the amount paid to Stratyn in the preceding three (3) months.

9. Indemnification

You agree to indemnify and hold harmless Stratyn from any claims, damages, or expenses arising from:

• Your misuse of services

• Violation of these Terms

• Business decisions made based on our recommendations

10. Third-Party Tools & Platforms

We may recommend or use third-party platforms (e.g., CRM systems, project management tools, payment processors).

We are not responsible for:

• Platform outages

• Data breaches on third-party systems

• Policy changes made by those providers

11. Termination

We reserve the right to:

• Refuse service

• Terminate access

• Suspend engagement

If a client breaches these Terms or acts in a manner that disrupts services or violates applicable laws.

Termination does not relieve payment obligations for services already rendered.

12. Governing Law

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict of law principles.

Any disputes shall be resolved in courts located in Oklahoma County, Oklahoma.

13. Modifications

We reserve the right to update these Terms at any time. Changes become effective upon posting to the website.

Continued use of the website constitutes acceptance of revised Terms.
